Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Konumla platform at [https://konumla.com] (the "Service"), operated by [QUABYTE LEGAL ENTITY NAME] ("Quabyte," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or agency, you represent that you have authority to bind that organization.
1. Definitions
- "Service" — the Konumla platform, including all features, dashboards, APIs, and reports.
- "Account" — your registered access to the Service.
- "Customer Data" — data you submit to the Service or that the Service collects on your behalf, including connected Google Business Profile data.
- "Managed Location" — a business or Google Business Profile listing you manage through the Service.
- "Agency Account" — an Account through which you manage Managed Locations for multiple clients.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your registration information, for keeping your password confidential, and for all activity under your Account. Notify us promptly of any unauthorized use.
3. Description of the Service
The Service provides local SEO and reputation management tools, which may include local rank tracking, Google Business Profile management, competitor analysis, performance reporting, white-label reporting, AI-assisted review replies, and review generation campaigns. We may add, change, or remove features over time.
4. Subscriptions, billing, and trials
- Plans and fees. Access to paid features requires a subscription. Fees, billing frequency, and plan limits are described at sign-up or on our pricing page.
- Payment. You authorize us and our payment processor to charge your payment method for all applicable fees, including taxes (such as Turkish VAT/KDV where applicable).
- Renewals. Subscriptions renew automatically unless cancelled before the renewal date.
- Cancellation. You may cancel at any time; access continues until the end of the current billing period. Except where required by law, fees already paid are non-refundable.
- Changes to pricing. We may change fees with advance notice; changes apply from your next billing period.
5. Your responsibilities and acceptable use
You agree that you will:
- comply with all applicable laws, including data protection laws (KVKK and, where applicable, the GDPR);
- only connect and manage Google Business Profiles that you own or are authorized to manage;
- ensure any content you publish through the Service (including review replies and posts) is accurate, lawful, and not misleading;
- obtain any consents required from the businesses and clients you manage.
You agree that you will not:
- use the Service to generate, solicit, or publish fake, incentivized, or deceptive reviews, or otherwise violate Google's review policies;
- attempt to manipulate rankings through methods that violate Google's guidelines;
- reverse engineer, scrape, overload, or interfere with the Service;
- resell or provide access to the Service except as expressly permitted for Agency Accounts;
- upload unlawful, infringing, or harmful content.
Violation of this Section may result in suspension or termination.
6. Google Business Profile and third-party services
The Service integrates with Google Business Profile and other third-party services. Your use of those integrations is also subject to the applicable third-party terms, including the Google Terms of Service and Google Business Profile policies. You are responsible for compliance with those terms for the listings you manage. We are not responsible for changes, limitations, or discontinuation of third-party APIs that affect the Service.
By connecting a Google account, you authorize the Service to access and manage Business Profile data on your behalf as described in our Privacy Policy. You may revoke this access at any time.
7. Customer Data and ownership
As between you and us, you retain all rights to your Customer Data. You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for having the rights necessary to provide it to us.
8. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Quabyte and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. The Konumla name and logo are our trademarks; the white-label features let you present reports under your own brand, but do not transfer ownership of our underlying technology.
9. White-label and agency use
If you use an Agency Account to manage Managed Locations for clients, you are responsible for your relationship with those clients, for your use of white-label features, and for ensuring your clients' data is handled lawfully. You remain responsible for all activity within your Agency Account, including that of your team members.
10. No guarantee of results
The Service provides tools to measure and improve local search visibility. We do not guarantee any specific ranking, position, traffic, review outcome, or business result. Search engine rankings depend on factors outside our control, including third-party algorithms that change without notice. Data shown in the Service (including rankings, appearance rates, and insights) is provided for informational purposes and may be subject to delays, approximations, or third-party limitations.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Limitation of liability
To the maximum extent permitted by law, Quabyte and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the [twelve (12) months] preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You agree to indemnify and hold harmless Quabyte from claims, damages, and expenses arising out of your use of the Service, your Customer Data, your violation of these Terms, or your violation of any law or third-party rights, including the rights of clients and businesses you manage.
14. Suspension and termination
We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal or security risk. You may stop using the Service and close your Account at any time. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to the Service and Terms
We may modify the Service or these Terms. For material changes to the Terms, we will provide notice through the Service or by email. Continued use after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws principles. The courts and enforcement offices of [İstanbul / your city], Türkiye, will have exclusive jurisdiction over disputes, except where mandatory consumer protection law provides otherwise.
